These Terms of Service ("Terms") govern the provision of IT consulting services by Tamar Rakia ("we", "us", "our") to its clients ("you", "client"). By engaging our services, you agree to these Terms.
Tamar Rakia provides IT consulting, advisory, and related services as described in a separate proposal, statement of work, or engagement agreement ("Engagement"). These Terms apply alongside, and do not replace, the specific terms of any Engagement.
Fees, payment schedule, and currency are set out in the applicable Engagement. Unless otherwise agreed, invoices are due within 30 days of issue.
Each party retains ownership of intellectual property it brings to the Engagement. Deliverables created specifically for the client under an Engagement are owned by the client upon full payment, unless otherwise agreed in writing. Tamar Rakia retains the right to reuse general knowledge, methods, and tools developed during an Engagement that are not specific to the client's confidential information.
Both parties agree to keep confidential information disclosed during the Engagement private, and to use it only for the purposes of the Engagement.
To the extent permitted by law, Tamar Rakia's total liability arising from an Engagement is limited to the fees paid for that Engagement in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
Each party agrees to indemnify the other against third-party claims arising from its own breach of these Terms or applicable law.
Either party may terminate an Engagement in accordance with the terms set out in the applicable proposal or agreement, typically with written notice. Fees for work performed up to termination remain payable.
These Terms are governed by the laws of [Governing Jurisdiction], and any disputes will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance.
